Welcome to AgentQR ("we", "us", "our"). By accessing or using our website, products, or services (collectively, the "Services"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Services.

1. Use of Services

You may use the Services only in compliance with applicable laws. You are responsible for all content you create, upload, or distribute using the Services, including ensuring you have all necessary rights and that your use does not infringe any third-party rights.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must promptly notify us of any unauthorized access or security breach.

3. Intellectual Property

We and our licensors own all rights, title, and interest in and to the Services, including software, designs, trademarks, and content, excluding content you provide. No rights are granted except as expressly stated in these Terms.

4. Your Content

You retain ownership of your content. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display it solely to operate and improve the Services. You represent and warrant that you have all necessary rights to your content and that it does not violate any law or third-party right.

5. Payments and Subscriptions

If you purchase a paid plan, you authorize us or our payment processors to charge you according to the plan and billing cycle presented at checkout. Fees are non-refundable except as required by law.

6. Prohibited Use

You must not misuse the Services, including by attempting to interfere with their normal operation, reverse engineer components, introduce malicious code, or use the Services to create unlawful, harmful, or infringing content.

7. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT OUTPUTS WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR USE CASE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR, IF YOU HAVE NOT PAID, ONE HUNDRED U.S. DOLLARS (US$100).

9. Indemnification

You agree to defend, indemnify, and hold harmless AgentQR and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Services, or your violation of these Terms or applicable law.

10. Third-Party Services

The Services may integrate with or link to third-party services. We are not responsible for third-party services and disclaim all liability related to them.

11. Modifications

We may modify these Terms at any time. If we make material changes, we will provide notice (e.g., by posting to our site). Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

12. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violations of these Terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which AgentQR is organized, without regard to conflict of law rules. Venue and jurisdiction shall lie exclusively in courts located in that jurisdiction.
